Terms of Service

1. About Vincerio

Vincerio is a member intelligence platform developed and operated by Sophia Propria LLC, a California limited liability company. These Terms of Service govern access to and use of the Vincerio platform by client organizations and their authorized personnel.

2. Who these terms apply to

Vincerio is a business-to-business service. These terms apply to organizations that access the Vincerio platform and to the individuals authorized by those organizations to act on their behalf. Individual members whose data is processed through Vincerio do not have a direct contractual relationship with Sophia Propria LLC under these terms.

3. Acceptance

By accessing or using the Vincerio platform, you represent that you are authorized to bind the organization on whose behalf you are acting, and that the organization agrees to these terms.

4. What Vincerio does

Vincerio processes member data provided or authorized by client organizations to generate engagement intelligence, journey analysis, and AI-assisted outreach suggestions. All suggestions produced by the platform are recommendations only and require review and approval by authorized personnel of the client organization before any action is taken. Sophia Propria LLC does not act on member data except as directed by the client organization.

5. Data processing

Client organizations are the data controller for all member data processed through Vincerio. Sophia Propria LLC acts as a data processor, handling member data only as described in the Vincerio Privacy Policy and as authorized in writing by the client organization. Use of the platform constitutes agreement to the data practices described in the Privacy Policy.

6. No warranty on platform outputs

AI-assisted engagement suggestions and analytical outputs produced by Vincerio are provided for informational purposes only. They do not constitute professional advice of any kind, including fundraising, legal, financial, or relationship management advice. Sophia Propria LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any platform output.

7. Disclaimer of warranties

The Vincerio platform is provided on an "as is" and "as available" basis. Sophia Propria LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by applicable law, Sophia Propria LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Vincerio platform, even if advised of the possibility of such damages. Sophia Propria LLC's total liability to any client organization shall not exceed the amounts paid by that organization to Sophia Propria LLC in the twelve months preceding the claim.

9. Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of Sacramento County, California.

10. Changes to these terms

Sophia Propria LLC may update these terms from time to time. Material changes will be communicated to active client organizations in writing at least thirty days before taking effect. Continued use of the platform after the effective date of revised terms constitutes acceptance.
